Affiliate Terms and Conditions

Introduction

Welcome to the CryptoCasino Partners Affiliate Program (the "Program"), managed by Armchair Gaming B.V., headquartered at Abraham De Veerstraat 9, Curaçao. In these Terms and Conditions ("Terms" or "T&Cs"), we refer to ourselves as "CryptoCasino," "we," "us," or "the Company."

These Terms represent a binding agreement between you and Armchair Gaming B.V., governing your participation in the Program. By joining, you agree to abide by the latest version of these Terms, which will always be accessible on our Program website at cryptocasinopartners.com . We reserve the right to amend, remove, or add provisions to this agreement at any time, and you are responsible for reviewing the latest Terms. Your ongoing participation indicates your acceptance of any updates, including adherence to our Advertising Guidelines, Privacy Policy, and Data Processing Agreement. Should you disagree with any changes, your only option is to discontinue your participation in the Program.

Definitions

  • Affiliate: An individual or legal entity registered and approved as a member of the Program. These Terms may also refer to the Affiliate as "you."
  • Affiliate Program: Refers to the Program operated by CryptoCasino Partners (CCP), as outlined in this Agreement.
  • Affiliate Account: A tracking and reporting system provided by CCP that enables affiliates to monitor performance, access marketing resources, and generate reports.
  • Affiliate Website(s): Any website (including mobile or tablet versions) owned or operated by the Affiliate for directing online traffic to CryptoCasino.com in compliance with these Terms.
  • Affiliate ID: A tracking identifier obtained from the Affiliate Account for monitoring customer referrals.
  • Agreement: The contract between the Company and the Affiliate, comprising these Terms and Conditions as well as any appendices.
  • Applicable Taxes: Any required taxes or fees (including VAT or gaming taxes) levied on revenue or customer activity volume.
  • Approved Marketing Activities: Any lawful promotional activities conducted in line with these Terms and approved by a CCP representative in writing.
  • Chargeback: A reversal of payment triggered by a customer, a credit card-issuing bank, or another third-party payment provider.
  • Commission: The earnings accrued from affiliate marketing activities, in accordance with these Terms.
  • Confidential Information: Information shared by the Company in relation to the Program, which may include business or financial data, processes, reports, customer lists, pricing details, commission statements, and any other proprietary information, including information specifically labelled as confidential by any authorized CCP representative.
  • Content/Marketing Materials: Promotional materials supplied by the Company for the purposes of this Agreement, including but not limited to URLs, tracking links (including sub-affiliate links), graphics, banners, and other advertising resources.
  • CryptoCasino Trademarks: Any trademarks or intellectual property owned by CryptoCasino or its affiliated companies and licensors.
  • Deductible Costs: Any third-party expenses incurred by the Company due to the operation of the CC site(s) and attributable to customer activities, such as payment processing charges, chargebacks, taxes, licence fees, royalties, or other third-party costs.
  • FTD (First Time Depositor): A new player account on CryptoCasino that has registered and made an initial deposit, either directly or through an affiliate tracking link.
  • Fraud/Fraudulent Activity: Any deliberate act or omission that the Company deems to secure an unfair or illegal advantage. This includes, but is not limited to, fraudulent credit card transactions, chargebacks, match betting, fake or automated account creation, collusion, or cheating by an Affiliate or customer(s).
  • Fraud Costs: Expenses, losses, or damages incurred directly or indirectly due to Fraud or Fraudulent Activity.
  • General Terms and Conditions: The standard terms and conditions of CryptoCasino.com.
  • Gross Gaming Revenue (GGR): The total revenue generated by CC across all products from bets or wagers placed by a referred FTD, minus any payouts or winnings.
  • Incentivized Traffic: Traffic generated through offering a reward or incentive for actions on CC, including registering a new account, making deposits, or placing wagers.
  • Match Betting/Arbitrage Betting: A wagering method intended to guarantee players a win without risk, such as using free bets.
  • Master Affiliate: An approved CC affiliate who recruits new affiliate partners (sub-affiliates) to the CC Affiliate Program via a master affiliate link.
  • Net Gaming Revenue (NGR): The Gaming Revenue remaining after deducting expenses, including but not limited to, an admin fee, bonuses, cashback, rewards, transaction fees, fraud costs, chargebacks, taxes, and third-party commissions.
  • Non-Cash Items: The value of free credits or other gifts provided to customers as direct costs.
  • Privacy Policy: CryptoCasino’s guidelines for data privacy.
  • Progressive Contributions: Revenue contributed to a progressive jackpot pool when members play progressive games on CC.
  • Prohibited Site: Any online platform (website, social media, forum) where gambling advertisements are unlawful or otherwise prohibited.
  • Spam: Any unsolicited message, email, SMS, or similar communication sent broadly and indiscriminately to multiple recipients.
  • Sub-Affiliates: Any individual or entity that joins the Program using a sub-affiliate tracking link provided by a Master Affiliate.
  • Unsuitable Site: Websites that target minors or display explicit content, promote violence, discrimination, illegal activities, or violate intellectual property rights or advertising standards.

1. Affiliate Acceptance and Participation

1.1 To join the CCP Program, you must first submit a completed application on the CCP website: cryptocasinopartners.com . By applying, you confirm that:

a) The information in your application is accurate, and you will update it as needed to keep it current.

b) You have not previously registered as an Affiliate with CCP; only one account is allowed per individual unless otherwise authorized in writing by CCP.

c) You are of legal age in your jurisdiction to enter into a binding agreement, and you are not aware of any legal, commercial, or other restrictions that would prevent your participation in the Program under these Terms. If you are applying on behalf of a company, you confirm that you have the authority to enter into this Agreement on the company’s behalf.

d) You fully understand and accept the Agreement’s terms.

1.2 Applications are processed within seven business days. The Company reserves the right to reject any application at its sole discretion. If your application is not approved within seven business days, it will be considered declined. All decisions are final.

1.3 If, at any point during your participation, a change occurs that would render any of the above warranties inaccurate or impact your ability to meet your obligations under these Terms, you agree to promptly inform your CCP account manager. The Company may then immediately terminate your participation without further payment obligations.

2. Use of CryptoCasino's Marketing Materials

2.1 If your application is approved, we grant you a non-exclusive, non-transferable, revocable, limited right to use our marketing materials on your Affiliate Site solely to refer new customers to CryptoCasino and earn commission, as long as you comply with these Terms.

2.2 Marketing materials will be available through your CCP affiliate account and may be updated periodically. You agree to use only the current versions of the materials and discontinue any outdated content. It is your responsibility to regularly check the affiliate platform for updated materials.

2.3 You agree not to alter any materials provided and will not market or promote CC with any unapproved materials without written consent from us.

2.4 If certain materials are subject to specific restrictions (e.g., campaign start or end dates, audience demographics), you agree to adhere strictly to these limitations when using the materials.

2.5 Your marketing activities must always be professional, lawful, and in compliance with the Agreement.

3. Links and Tracking

3.1 You are required to use the tracking links provided in your affiliate account. Only customers correctly tagged with your Affiliate ID will be eligible for credit and commission.

3.2 The Company’s statistics and calculations for tracking customer activities and determining commissions will be considered final.

3.3 We will make reasonable efforts to provide you with access to updated reports on customer activities linked to your Affiliate ID via your affiliate account. The format, content, and frequency of these reports may vary over time.

4. Your Responsibilities and Obligations

4.1 You agree to actively and effectively market, advertise, and promote CryptoCasino.com in a way that aligns with good business ethics and in good faith, maximizing benefits for both parties.

4.2 As an affiliate, you are responsible for all costs and expenses related to referring potential players to CryptoCasino.com, as well as for managing the distribution, content, and method of your marketing activities.

4.3 You are fully accountable for the development, operation, and upkeep of your website and all materials displayed on it.

4.4 Your promotion and marketing of CryptoCasino.com must not contain any content that is defamatory, discriminatory, obscene, unlawful, or otherwise inappropriate. It must not feature sexually explicit, pornographic, obscene, or graphically violent content.

4.5 You must not intentionally target individuals who are under the legal gambling age in their respective jurisdictions. It is your responsibility to know the age restrictions for gambling in each area where you conduct marketing activities.

4.6 You agree not to target jurisdictions where gambling and its promotion are prohibited by law. You will take all reasonable technical and operational steps to prevent marketing efforts from reaching residents in those restricted areas.

4.7 You acknowledge that your promotional activities have the potential to impact CryptoCasino's reputation and goodwill significantly, and you commit to acting in a manner that safeguards and does not damage CryptoCasino's reputation.

4.8 You will not engage in any activities that could jeopardize CryptoCasino's gaming licences, permits, or regulatory approvals. Nor will you engage in conduct that could reasonably be seen to bring CryptoCasino into disrepute, which could harm CryptoCasino’s integrity or the Program. You agree to indemnify CryptoCasino under the indemnification clause below.

4.9 Your marketing activities may not involve any content that infringes intellectual property rights or could expose the Company to legal claims, including content that is defamatory, offensive, scandalous, or otherwise objectionable. You will indemnify CryptoCasino against any legal consequences of such actions.

4.10 You agree not to mislead or deceive users in your marketing or infringe on any third-party rights, including privacy, publicity, or intellectual property rights. You will only display marketing materials on websites or media that are lawful, professional, and in good taste.

4.11 Affiliate websites should not imitate the look and feel of the CryptoCasino site in a way that could confuse users into thinking that your site or landing page is owned or operated by CryptoCasino. You may only use official CryptoCasino logos, marks, or materials provided in the Marketing Materials.

4.12 We reserve the right to request the immediate removal or modification of any distributed materials, or to ask that you cease specific marketing activities related to the affiliate program or CryptoCasino at any time. By participating, you agree to cooperate fully with any requests made by CryptoCasino concerning your affiliate activities.

4.13 If requested, you agree to provide any information or documentation required by CryptoCasino for compliance verification, such as KYC (Know Your Customer) checks, to ensure adherence to these Terms or meet regulatory obligations.

4.14 Without prior written approval from CryptoCasino, you agree not to offer or provide any incentives (financial or otherwise) to potential new customers, except for standard promotions that CryptoCasino may periodically make available to affiliates. Unauthorized incentives include rakeback, cashback, or other bonus schemes.

4.15 Any violation of the above responsibilities may constitute a material breach of these Terms, potentially resulting in your immediate removal from the Program and making you liable to CryptoCasino for damages.

5. Spam, Fraud, and Fraudulent Marketing

5.1 You agree not to direct traffic to CryptoCasino.com through illegal or fraudulent activities.

5.2 You must not send any marketing communications—such as SMS, emails, or other messages—relating to CryptoCasino without our prior written consent. To obtain approval, you must provide us with:

a) A complete list of intended recipients, which we will review to ensure compliance and confirm that no recipient has self-excluded from communications with CC.

b) Written confirmation that all communication for the proposed campaign will include an option to opt-out from future messages.

c) Confirmation that all recipients have given consent (i.e., opted in) to receive these communications and have not subsequently opted out.

5.3 You, along with any friends, family members, or employees, may not register as a player or make deposits through your own tracked links, nor engage in any activities to artificially increase your commission or deceive the Company. Violating this rule constitutes fraud and may lead to the closure of your account(s) and the forfeiture of all funds.

5.4 Your website and marketing channels must not be presented in a way that suggests ownership or partial ownership by CryptoCasino. This includes any social media platform, such as Instagram, Facebook, Twitter, Telegram, TikTok, YouTube, Discord, or any similar current or future platform.

5.5 Aside from the marketing materials available within the Affiliate Program, you may not use CryptoCasino.com’s trademarks or intellectual property unless explicitly authorized in writing.

5.6 You must not purchase domains that include names or phrases similar to CryptoCasino.com, nor bid on keywords or phrases that include CryptoCasino.com’s brand in any pay-per-click (PPC) search engine. Upon request, you agree to transfer ownership of any domains registered in violation of this rule to CryptoCasino or a designated third party, even if the Agreement has terminated.

5.7 Any costs CryptoCasino incurs as a result of Spam sent by you or on your behalf may be deducted from your commissions under these Terms. If insufficient funds exist in your account, we reserve the right to recover costs from future commissions or seek payment through other means. If your account is inactive, we may seek payment from you directly.

6. Legal Compliance

6.1 CryptoCasino operates under licences issued by the Curaçao and Anjouan Gaming Authorities.

6.2 You acknowledge that CryptoCasino adheres to the regulations and principles set forth by its licensing conditions, which include:

a) Preventing gambling from becoming associated with or contributing to criminal activity or disorder.

b) Ensuring that all gambling activities are fair and transparent.

c) Protecting minors and other vulnerable individuals from harm or exploitation through gambling.

6.3 By participating, you agree to:

a) Comply at all times with the above objectives and promptly provide written proof of compliance upon request from CryptoCasino.

b) Set up and maintain all necessary processes to monitor compliance with these objectives, and upon request, provide evidence of these processes.

c) Regularly review and update your compliance procedures as needed to meet these requirements.

6.4 Occasionally, CryptoCasino may receive requests for information from regulatory authorities or other gambling bodies. Upon receiving such requests, CryptoCasino may notify you and ask for any information needed to fulfil the request. You agree to promptly provide this information or assist CryptoCasino in gathering it.

6.5 You agree to observe all laws, regulations, and directives concerning the use of cookies, personal data processing, storage, and transfer. All electronic messages or communications sent by you must comply with the applicable regulations, including the Data Protection Act 2018, Privacy and Electronic Communications Regulations (PECR) 2003, and the General Data Protection Regulation (GDPR) 2016/679.

6.6 You are responsible for ensuring that you remain up to date with and comply with all relevant laws, regulations, and codes of practice governing your activities under the CCP Program.

7. Our Responsibilities and Obligations

7.1 The Company will provide you with access to the affiliate platform, which contains necessary marketing materials as determined by the Company.

7.2 We will assign a unique tracking ID to all customers referred through your links, calculate the Net Gaming Revenue generated from these referrals, record this revenue, and track your commission earnings. Additionally, we will provide commission statistics and manage all customer support related to CryptoCasino's operations.

7.3 The Company will pay you commission based on the commission structure assigned to your account, as it relates to traffic you generate, subject to the terms of this Agreement.

7.4 We reserve the right to freeze or close any affiliate account if necessary. Specifically, we may:

a) Temporarily block an affiliate’s account and withhold payments if we suspect a breach of the Terms. If a breach is confirmed, we may withhold all commission indefinitely.

b) Close any affiliate account if we believe doing so is required to protect our policies, the Company’s website, or the Company itself. We may also take legal action if needed to protect our interests.

c) Terminate an affiliate account if the affiliate verbally or physically threatens any CryptoCasino staff member. We maintain a zero-tolerance policy on abuse and will not be liable for any loss or damage resulting from such actions.

d) Conduct internal investigations on any affiliate or player account within CCP or CryptoCasino.

8. CryptoCasino's Intellectual Property Rights

8.1 CryptoCasino retains exclusive ownership of the CryptoCasino and CryptoCasinoPartners sites, all trademarks, content, reports, documentation, materials provided for the Program, and any associated intellectual property rights. Any rights not explicitly granted in these Terms remain reserved by CryptoCasino and its licensors.

8.2 You acknowledge that CryptoCasino’s intellectual property rights remain the property of CryptoCasino. You further agree that you have no ownership rights to any of these properties except for the limited right to use the marketing materials as specified in this Agreement.

9. Prohibited Territories

9.1 By agreeing to these Terms, you confirm that you will not actively target potential customers located in restricted regions. This restriction applies to any direct communication, advertising, banners, or other marketing efforts directed at traffic or customers from these regions.

9.2 You acknowledge that you are not entitled to any commission or fees for activity linked to customers in Prohibited Territories.

9.3 Without limiting other Terms, including indemnification, you agree to defend, indemnify, and hold CryptoCasino and its directors, officers, employees, and representatives harmless from any liabilities, losses, or expenses, including legal fees, arising from or related to breaches of Clause 9.1. You also agree to assist CryptoCasino in providing information to relevant authorities if required.

10. Commission Calculations

10.1 You are eligible to earn commission based on gambling activities by customers referred by you, as outlined in these Terms. You understand that commission rates may change at our discretion.

10.2 You are only eligible to receive commission while actively participating in the Program and while you continue to refer new customers in compliance with these Terms. Commissions will no longer be paid if your participation in the Program is terminated.

10.3 Your commission will be based on the Net Gaming Revenue (NGR) generated by the customers you refer, and it depends on the frequency of referrals and types of games played by those customers. The commission calculation based on monthly NGR generated by your referrals is as follows:

  • Less than €5,000: 25%
  • €5,000 to €20,000: 30%
  • €20,000 to €50,000: 35%
  • €50,000 to €250,000: 40%
  • Over €250,000: 40% plus VIP status benefits

If your reward plan is structured differently from the above (such as Cost Per Acquisition (CPA) or a Hybrid plan), the commission details will be defined in a separate agreement. The Company reserves the right to withhold CPA payments for player accounts suspended or closed due to fraud, self-exclusion, or other reasons deemed necessary.

11. Referral Inactivity

11.1 If you fail to refer any new depositing customers over a consecutive 3-month period, we reserve the right to reduce your commission rate to a flat rate of 10% of NGR. To restore your original commission rate, you must refer three new depositing customers within a subsequent 3-month period, at which point, upon your third referral, your commission rate will return to the standard rates outlined above.

11.2 If you do not refer any new depositing customers within a consecutive 6-month period, we reserve the right to close your affiliate account on the basis that you are not acting in accordance with 4.1 above, i.e. you are not actively and effectively marketing, advertising, or promoting CryptoCasino.com.

12. General Commission Terms

12.1 If we run special promotions involving specific products, services, games, customer activities, or events, and you choose to participate, you agree that your participation is subject to any special terms related to that promotion.

12.2 Your commission is based on our data and calculations, which may include information from third-party sources. All decisions on tracking, calculating, and paying commissions will be made solely at our discretion.

12.3 We do not pay commissions for customers who already have an account with us prior to signing up through your links. Multiple accounts for a single customer are prohibited; if any duplicate accounts are identified, they will be removed from your account.

12.4 We reserve the right to refuse new customer accounts, close customer accounts, or take any action necessary to maintain the security and integrity of the CryptoCasino site. If we suspend or close a customer’s account, you will not receive commissions related to that account.

13. Payment Terms

13.1 We aim to process and pay the commissions earned in the previous calendar month within 15 working days of the following month.

13.2 We are not liable for any delays in payments due to technical issues, third-party delays, or unforeseen events beyond our control.

13.3 All NGR calculations will be conducted in EUR. For transactions in other currencies, an exchange rate adjustment into EUR will apply, and this conversion rate will be charged to your account.

13.4 Commission payments will be made by the payment method you selected during registration, in one of the available currencies or cryptocurrencies. For payments in non-EUR currencies, a fair market exchange rate adjustment will apply.

13.5 To qualify for payment, your account balance must meet a minimum threshold of €100 (or equivalent in another accepted currency or cryptocurrency). All transaction fees for commission payments will be your responsibility.

13.6 You cannot update your payment details within the 10 working days prior to the payment date. To ensure proper processing, it’s your responsibility to keep payment information current at least 10 days before the payment date.

13.7 You are responsible for reporting and paying any taxes, tariffs, or other government charges on commissions you earn. All commissions payable to you are exclusive of taxes, and you agree to reimburse CryptoCasino for any such taxes paid on your behalf, except for taxes on the Company's net income.

13.8 We reserve the right to change commission payment schedules and calculation methods at any time, at our discretion.

14. We deleted this clause, but it was way too much hassle to renumber everything else without being sure that any legal integrity of the document wouldn’t be reduced in any way.

15. Unclaimed Commissions

15.1 We reserve the right to remove any commissions in your account if the balance remains unpaid for over six months ("Unclaimed Commission"), without further recourse.

15.2 If, after the removal of Unclaimed Commission, you can prove extenuating circumstances, CryptoCasino may, at its sole discretion, restore the balance of your account. If restored, you must withdraw these funds within two months; failure to do so will result in permanent removal of the commission without further recourse.

16. Negative Carry-Over

16.1 If the total NGR from your referred customers is negative for a given month, this negative balance will not carry over to the next month, subject to the high-roller policy outlined below.

17. High-Roller Policy

17.1 If, in a given month, a customer referred by you generates a negative NGR of at least €5,000, they will be considered a "High-Roller" for the purposes of this policy. If the aggregate NGR for that month is negative due to the activity of this High-Roller, the High-Roller policy will apply.

17.2 The negative NGR generated by the High-Roller will be carried forward and offset against any future positive NGR generated by that same High-Roller.

17.3 This negative balance cannot be offset against NGR from other customers; it will only apply to revenue generated by the High-Roller.

17.4 The carried-forward negative balance cannot exceed the total negative NGR for your affiliate account in that month.

17.5 The High-Roller’s negative balance will be reduced by any future positive NGR they generate in subsequent months.

17.6 The High-Roller’s negative balance will only increase if they again generate a monthly negative revenue of at least €5,000.

18. Sub-Affiliates

18.1 A Sub-Affiliate is an affiliate you have referred to the Program, meeting the same eligibility criteria as any other Affiliate. Sub-Affiliates will be linked to your account as a "Master Affiliate" provided they register using your Sub-Affiliate tracking link.

18.2 It is the responsibility of the Master Affiliate to ensure that Sub-Affiliates complete the registration process accurately. Failure to follow the correct steps may result in the Sub-Affiliate not being linked to your account.

18.3 You will earn 5% of the commission earned by each Sub-Affiliate you refer. The Company reserves the right to change this percentage rate at any time without prior notice.

18.4 The Company reserves the right to investigate any Sub-Affiliate referred by you if there are suspicions of fraudulent or inappropriate activity. If a Sub-Affiliate is found to be involved in fraud, Spam, or other breaches of the Agreement, the Company may withhold all related commission payments and suspend, freeze, or confiscate the Sub-Affiliate’s account if deemed necessary.

18.5 Sub-Affiliates are bound by the terms and conditions of the Agreement, and you, as the Master Affiliate, are liable for their adherence to these obligations.

18.6 The Company is not responsible for any disputes or direct communication between a Master Affiliate and a Sub-Affiliate. All responsibilities in these interactions rest solely with the Master Affiliate and Sub-Affiliate.

18.7 You, your employees, or immediate family members cannot act as Sub-Affiliates under your own Master Affiliate account. If the Company suspects this to be the case, it reserves the right to withhold all commissions due to both the Master Affiliate and Sub-Affiliate accounts and to suspend, freeze, or confiscate these accounts if deemed necessary.

19. Ownership of Customer Data

19.1 You acknowledge and agree that all data related to any customer referred by you is exclusively owned by CryptoCasino. You have no rights to use this data outside of information you may gather independently and separately from your participation in the Program.

21. Security of Your Account

21.1 You are responsible for maintaining the security of your affiliate account’s username and password. Your login details should not be shared with any third parties. You are solely responsible for all activity conducted under your affiliate account and associated Affiliate ID.

21.2 As part of our commitment to anti-money laundering compliance, we may occasionally require you to verify your account details to continue receiving commissions. This verification process is designed to protect both you and CryptoCasino from illegal or fraudulent activities and may require the submission of personal documentation for identity, payment, or address verification.

22. Confidentiality

22.1 All Confidential Information and personal data related to the Company’s customers are to be treated as confidential. This information must not be used by you for any commercial or personal purposes, nor disclosed to any third party, directly or indirectly, without prior written consent from the Company. This obligation remains in force even after the termination of the Agreement.

22.2 You agree to take all reasonable measures to safeguard the confidentiality of this information and not to use it for any purpose other than fulfilling your obligations under the Agreement.

23. Anti-Money Laundering

23.1 You agree to comply with all applicable laws and regulations related to anti-corruption, anti-money laundering, and bribery, including those under the UK Bribery Act 2010 and any similar laws in relevant jurisdictions. This includes restrictions on giving, offering, or accepting any form of bribe or inducement to government officials, political parties, or their associates. You also commit to accurate record-keeping as required by law, maintaining these records for the duration of your participation in the Program and any legally prescribed period thereafter.

23.2 Your participation in the Program must not encourage, benefit from, or support any form of money laundering or illegal activities. CryptoCasino prohibits and actively works to prevent any involvement in money laundering or funding of criminal activities in connection with the Program. You agree to provide any assistance or documentation requested by CryptoCasino or its agents for verification purposes. This may include:

a) For individuals: copies of current identification (passport, driver’s licence), utility bills, bank statements, or other documents.

b) For corporations: copies of the certificate of incorporation, organizational documents, and identities of directors, officers, and beneficial owners.

CryptoCasino reserves the right to perform independent identity verification checks, potentially using public or private information sources, to prevent illegal activities.

23.3 In jurisdictions with strict anti-money laundering laws, CryptoCasino may be obligated to report you to local or federal authorities if we know, suspect, or have reason to believe any transactions involve illicit funds or conceal illegally obtained funds. In such cases, CryptoCasino may, at its discretion:

a) Suspend or terminate your participation in the Program.

b) Withhold any further commission payments.

c) Report you to relevant authorities if legally required.

23.4 CryptoCasino upholds a strict Anti-Bribery and Corruption Policy to ensure compliance with laws and ethical business practices. Accordingly, you agree not to engage in any activities that could violate this policy, including offering, soliciting, or accepting any undue advantages to influence customer acquisition, impressions, clicks, registrations, or other actions under this Agreement. Any breach may result in immediate termination of your participation in the Program.

24. Indemnification

24.1 You agree to defend, indemnify, and hold CryptoCasino and its affiliates, successors, officers, employees, agents, directors, shareholders, and legal representatives harmless from and against any claims or liabilities, including reasonable attorney and expert fees, which may arise from:

a) Any breach of your representations, warranties, or commitments under the Agreement.

b) Improper or unauthorized use of the marketing materials.

c) All activities and actions under your Affiliate ID and account.

d) Any defamatory, libelous, or illegal content included on your website or in the data you provide.

e) Any claims or disputes alleging that your website or content violates any third-party intellectual property rights or rights to privacy or publicity.

f) Any claim related to your website.

g) Any violation of the Agreement.

24.2 CryptoCasino reserves the right to participate in the defence of any matter, at its own expense, where it deems necessary.

24.3 If a third-party claim or investigation arises due to your activities in connection with these Terms, CryptoCasino reserves the right to withhold commissions or other payments as compensation for any related expenses or liabilities, in addition to other remedies available to us.

25. Disclaimer of Warranty

25.1 We make no express or implied warranties or guarantees regarding the Program, Marketing Materials, Program Portal, or any CryptoCasino website. This includes, but is not limited to, warranties of fitness for a particular purpose, merchantability, legality, non-infringement, or any implied warranties that might arise from business performance, practices, or trade usage. You acknowledge that participating in the Program and using the internet carries risks and that the Program is provided "as is" and "as available," without any guarantees of specific functionality or outcomes.

25.2 CryptoCasino will not be liable for any errors, inaccuracies, or omissions, nor for any damages or losses resulting from failures, delays, or interruptions of the CryptoCasino site or the Affiliate Program.

26. Limitation of Liability

26.1 Except for any liabilities that cannot legally be excluded, CryptoCasino’s total aggregate liability toward you or any third party, whether based on contract, tort, warranty, or other legal grounds, will not exceed the total commission generated by you over the twelve (12) months preceding the incident giving rise to liability. In no event will CryptoCasino be liable for any indirect, special, incidental, punitive, or consequential damages, including but not limited to losses in profits, revenue, business, or economic advantage.

27. Term and Termination

27.1 This Agreement can be terminated by either party with a thirty (30) day written notice to the other party. Notice can be given via email. CryptoCasino also reserves the right to terminate this Agreement immediately if there is any breach by the Affiliate. In such cases, CryptoCasino will notify the Affiliate in writing, and termination will take effect the following day.

27.2 Upon termination of this Agreement:

a) The Affiliate must remove all references to the CryptoCasino website from their Affiliate website, marketing channels, and any communications, whether commercial or otherwise.

b) All rights and licences granted to the Affiliate under this Agreement will end immediately, and all rights will revert to the respective licensors. The Affiliate must cease using any trademarks, service marks, logos, or other Company-owned designations.

c) The Affiliate will be entitled only to unpaid commissions earned up to the termination date. The Company may withhold the final payment for up to ninety (90) days to ensure the correct amount is disbursed. Commissions will not accrue post-termination.

d) If the Agreement is terminated due to an Affiliate's breach, the Company reserves the right to withhold any unpaid commissions at the time of termination as collateral for any claims arising from the breach.

e) The Affiliate must return any Confidential Information (including all copies) in their possession, custody, or control to the Company.

f) The Company is released from all obligations and liabilities that arise or continue after the termination date, except for those obligations that are explicitly designed to survive termination. Termination will not release the Affiliate from any liability related to any breaches prior to termination or breaches of Confidential Information even after termination. The Affiliate's confidentiality obligation will continue beyond termination.

27.3 CryptoCasino may also terminate this Agreement if instructed by a regulatory gaming authority or if there is a reorganization in outsourced services, a transfer of responsibilities, or other internal changes.

27.4 If the Affiliate account is inactive for six (6) months or more, as defined by the absence of new Real Money Players per Clause 11.2, this Agreement and participation in the Program may be terminated, and any remaining commission balance may be frozen.

27.5 If no commission withdrawal is requested within the six-month period following inactivity, Clause 15 on Unclaimed Commissions will take effect.

28. Contact

28.1 Any notice or communication from CryptoCasino will be in writing and sent to the designated email address provided by the Affiliate at the time of registration. Notices will be effective upon sending and will be written in English. The Affiliate is responsible for ensuring that their contact information remains up to date.

29. Sale of Your Business

29.1 If you intend to sell or transfer ownership or control of your Affiliate business to a third party, you must:

a) Provide CryptoCasino with at least 30 days' written notice, including any details we may request, such as your Affiliate ID, full details of the purchaser, their banking details, and, if applicable, their Affiliate ID if they are already a member of the Program. You must also provide us with irrevocable consent to transfer your remaining commissions to the purchaser, if the sale is approved, in a format acceptable to us.

b) Include a condition in the sale agreement that requires CryptoCasino’s approval of the purchaser as an Affiliate under the Program. Upon approval, the purchaser must join the Program under the terms outlined here, which may be updated by us from time to time.

29.2 CryptoCasino reserves the right to approve or reject any proposed assignment or transfer of your rights under these Terms to a prospective buyer, especially if that buyer offers services similar to those provided by CryptoCasino.

29.3 If CryptoCasino approves the transfer, your participation in the Program will terminate on the date of the transfer.

29.4 If CryptoCasino rejects the intended purchaser as an Affiliate of the Program, and you choose to proceed with the sale, CryptoCasino reserves the right to terminate your agreement and participation in the Program immediately.

30. Relationship of Parties

30.1 You and CryptoCasino are independent contractors. Nothing in these Terms establishes any partnership, joint venture, franchise, sales representative, agency, or employment relationship between us.

30.2 You have no authority to make claims, representations, or warranties on behalf of CryptoCasino, nor to bind us to any obligations, unless agreed to in writing by CryptoCasino.

30.3 You agree that you are not, nor will you be treated as, an employee of CryptoCasino with respect to any applicable local, state, or federal laws, including those related to tax, Social Security, unemployment, or any similar regulations.

31. Non-Solicitation

31.1 During your time in the Program and for twelve (12) months following any termination of your participation, you agree not to, directly or indirectly, solicit, recruit, or attempt to hire any person employed or contracted by CryptoCasino or any of its affiliated companies, if they were engaged with the Company during this period.

31.2 If you have any doubts about an individual’s engagement with CryptoCasino, you should contact us in writing before attempting any solicitation. Failing to verify the individual’s status does not exempt you from your obligations under this non-solicitation clause.

31.3 You acknowledge that any breach of this non-solicitation clause could cause significant harm to CryptoCasino, which may not be adequately addressed by monetary damages alone. Therefore, CryptoCasino has the right to seek injunctive relief from a competent court to prevent such solicitation, without limiting other legal remedies available.

32. Governing Law and Jurisdictions

32.1 This Agreement shall be governed by and interpreted in accordance with the laws of Curaçao. Any dispute or action arising from these Terms must be brought within the jurisdiction of Curaçao, and the Affiliate consents to this jurisdiction.

32.2 Any claims, disputes, or issues related to CryptoCasino websites will also be governed by Curaçao law, and any legal action regarding these websites must be filed in Curaçao, with the Affiliate consenting to the authority of Curaçao law courts.

33. Miscellaneous

33.1 CryptoCasino’s decision not to enforce strict adherence to any provision of these Terms does not waive our right to enforce that or any other provision in the future.

33.2 Neither party shall be liable to the other for any delay or failure to meet obligations under this Agreement if the delay or failure is due to a cause beyond their reasonable control, such as labour disputes, strikes, natural disasters, acts of terrorism, power or communication failures, or other significant disruptions. If a force majeure event lasts more than thirty (30) days, either party may terminate this Agreement without notice.

33.3 Exercising one or more provisions of these Terms does not prevent either party from exercising any other provision.

33.4 You agree that any breach or threatened breach of these Terms may not be adequately resolved by damages alone. In such cases, CryptoCasino may seek equitable remedies such as specific performance or injunction. Nothing in these Terms limits our rights to pursue other legal remedies for breaches or threatened breaches.

33.5 Each provision of these Terms will be interpreted to be effective and valid under applicable law. If any provision is found invalid, illegal, or unenforceable, that provision will be ineffective only to the extent of the invalidity, without affecting the remainder of the Terms.

33.6 These Terms constitute the entire agreement between you and CryptoCasino regarding the Program, replacing all previous agreements, whether verbal or written.
